Affiliate Programme Terms

1. The Programme

The ClickGuardian Affiliate Programme lets approved affiliates ("you") earn commission by referring new paying customers to ClickGuardian. The programme is operated by Further Forward Innovation Ltd trading as ClickGuardian ("we", "us"), registered in England and Wales, company number 14146615, of Office One, 1 Coldbath Square, Farringdon, London, EC1R 5HL, VAT registration GB416505122.

The programme runs on the Tolt platform at affiliates.clickguardian.ai. By applying, you accept these terms.

2. Eligibility and Enrolment

You must be at least 18, provide accurate application details, and hold any registrations needed to receive business income in your country. We may accept or reject any application at our discretion and may re-review accounts at any time. Existing ClickGuardian customers are welcome to join.

3. Commission

We pay 30% of Net Revenue from each referred customer for 24 months from that customer's first paid invoice. "Net Revenue" means amounts we actually receive from the referred customer for their ClickGuardian subscription, excluding VAT and other taxes, and net of refunds, chargebacks, discounts and credits.

A customer is referred by you when they sign up within 90 days of clicking your affiliate link (last qualifying click wins), or use your assigned coupon code at checkout. If a customer clicked another affiliate's link within 24 hours before using your coupon code, the link takes precedence.

No commission is payable on: your own accounts or accounts you control (see section 6), existing customers or customers already in an active sales conversation with us, wholesale white label accounts, upgrades of accounts referred by someone else, or non-subscription charges.

4. Payment

Commissions are calculated monthly and held for 30 days after the underlying customer payment to cover the refund window. The minimum payout balance is £40 (or $50). Payouts are made monthly through Tolt to your chosen payout method. You are responsible for your own taxes. If a customer payment is refunded or charged back after commission is paid, we deduct the amount from your future commissions.

5. Referred Customer Discount

Your assigned coupon code gives referred customers 10% off their first 3 months. You may only promote the discount using the code we assign to you, and you may not offer, imply or advertise any other discount, free period or incentive.

6. Prohibited Activities

You must not: (a) bid on "ClickGuardian", "Click Guardian", misspellings, or our domain names in any paid search or paid social channel, or use them in ad copy or display URLs; (b) refer yourself, your own business, immediate family, or entities you control; (c) list your link or code on coupon, deal or voucher sites; (d) use cookie stuffing, forced clicks, iframes, or misleading redirects; (e) send unsolicited bulk email or messages; (f) make claims about ClickGuardian that are false or go beyond our published materials, including invented fraud statistics, guaranteed savings, or features we do not offer; (g) represent yourself as ClickGuardian or an employee of ours; (h) promote via content that is unlawful, hateful or deceptive.

You must disclose your affiliate relationship where required by law, including FTC and ASA/CAP rules. Breach may result in withheld commissions and removal from the programme.

7. Trademark Licence

While enrolled, you may use the ClickGuardian name and the marketing assets we provide, solely to promote ClickGuardian under these terms. The brand is always written "ClickGuardian". No other use of our marks is permitted, and the licence ends when your enrolment ends.

8. Relationship

You are an independent contractor. Nothing in these terms creates employment, agency, partnership or joint venture. You may not accept payment from customers, bind us to any obligation, or handle customer data on our behalf.

9. Changes and Termination

We may amend the programme or these terms with 30 days' notice through Tolt or email. Changes are not retroactive to commissions already earned.

Either party may end enrolment at any time. On termination without breach, we pay out earned commissions above the minimum threshold at the next payout run, and commission on your existing referred customers continues for the remainder of each customer's 24-month window. On termination for breach, unpaid commissions are forfeit.

10. Liability and General

The programme is provided "as is". Our total liability to you under the programme is capped at commissions paid or payable to you in the 6 months before the claim. Nothing excludes liability that cannot be excluded by law.

These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.
